El experto en la reestructuración. (RI §424076)  


The restructuring expert - Ángel Martín Torres

Aparición en la legislación española de la figura del Experto en la Restructuración, que debe ser obligatoriamente nombrado en aquellas situaciones expresamente recogidas en la Directiva que han sido íntegramente trasladadas al Anteproyecto de Ley. Directiva y Anteproyecto de ley protectores de la figura del deudor, alejados de la práctica anglosajona, que ofrece un mayor protagonismo a los acreedores. Ampliación del considerando de la directiva sobre honorarios del Experto en la Restructuración, sin contradecir la misma: siempre que en el plan de reestructuración homologado por el juez se prevea expresamente que la retribución del experto sea a cargo del deudor, los acreedores podrán repercutir los costes de su asesor. Ampliación del considerando de la directiva sobre las funciones del Experto en la Restructuración, estableciéndose en el Anteproyecto de Ley que este deberá preparar el informe sobre el valor en funcionamiento de la empresa, en caso de planes de restructuración no consensuales.

Introduction into Spanish legislation of the role of Restructuring Expert, the appointment of whom is mandatory in the scenarios provided for in the Directive, which have been fully incorporated into the Draft Bill. The Directive and the Draft Bill are designed to protect the debtor, something far removed from Anglo-Saxon practices, which afford creditors a more active role. Expansion of the recital of the Directive concerning the Restructuring Expert’s fees, without contradicting the Directive itself: provided that the restructuring plan approved by the judge expressly stipulates that the expert's remuneration is payable by the debtor, the creditors may pass on the costs of their advisor. Expansion of the recital of the Directive concerning the duties of the Restructuring Expert, whereby the Draft Bill provides that said expert must prepare a report on the going concern value of the company in the event of a non-consensual restructuring plan.
