El concepto de ‘bargain’ y la (in-)superable distancia entre Common Law y Civil Law. Algunas observaciones históricas sobre la Europeización del Derecho de los Contratos

El ensayo se concentra, desde una perspectiva histórica y dogmática, en el problema general de la Europeización del derecho de los contratos: después de un breve análisis de las lagunas que caracterizan el DCFR (cuyos contenidos son considerados un buen pretexto para tratar la teorética posibilidad de interpretar el derecho o como un orden natural y espontáneo, o como un sistema artificial), se analiza la divergencia, estructural e histórica, existente entre ‘Common Law’ y ‘Civil Law’ (sobre todo en relación a las figuras jurídicas anglosajonas de la ‘consideration’, del ‘bargain’ y de los así llamados ‘contratos unilaterales’, en comparación con los homólogos instituciones de derecho continental). Por lo tanto, el ensayo, a la luz de los resultados conseguidos por la iurisprudentia romana, pretende descubrir nuevos caminos hacia el objetivo de la unificación del derecho de los contractos. Finalmente, este mismo se concentra sobre la importancia de la creación de una nueva sciencia jurídica que, por medio de un bagaje conceptual innovador, sea capaz de enfrentar todos los problemas jurídicos implicados por la mudable realidad actual: una realidad en la cual el presente parece ser efectivamente ‘inactual’ y el pasado potencialmente ‘actual’.
Il saggio si concentra, da una prospettiva storica e dogmatica, sul problema generale della Europeizzazione del diritto dei contratti: dopo una breve analisi delle lacune che contraddistinguono il DCFR (i cui contenuti sono considerati un buon pretesto per trattare della teoretica possibilità di interpretare il diritto o come un ordine naturale e spontaneo o come un sistema artificiale), viene esaminata la divergenza, strutturale e storica, esistente tra ‘Common Law’ e ‘Civil Law’ (soprattutto con riguardo alle figure giuridiche anglosassoni della ‘consideration’, del ‘bargain’ e dei cd. ‘contratti unilaterali’, in comparazione con gli omologhi istituti di diritto continentale). Quindi, il saggio, alla luce dei frutti conseguiti dalla iurisprudentia romana, intende individuare nuove rotte verso l’obiettivo dell’unificazione del diritto dei contratti. Infine, esso si concentra sull’importanza della creazione di una nuova scienza giuridica che, per il tramite di un innovativo armamentario concettuale, sia in grado di affrontare tutti i problemi giuridici implicati dalla proteiforme realtà dell’oggi: una realtà in cui il presente sembra essere effettivamente ‘inattuale’ e il passato potenzialmente ‘attuale’.

The essay focuses, from a dogmatic and historical perspective, on the general problem of Europeanization of Contract Law: after a short analysis of the lacunae that characterize the DCFR (the contents of which are considered as a good chance to deal with the theoretical possibility of interpreting law as a natural and spontaneous order or as an artificial system), it is intended to examine the structural and historical divide existing between Common Law and Civil Law (above all with regard to the Anglo-Saxon legal features of ‘consideration’, ‘bargain’ and ‘unilateral contracts’, compared with the homologous continental institutes). Then, the essay, in the light of the outcomes achieved by the Roman iurisprudentia, aims at showing new avenues towards the goal of a unified Contract Law. Finally it treats the importance of the creation of a new legal science that, by the means of an innovative conceptual apparatus, can face all the legal matters involved in the protean current reality: indeed, a reality where the present seems to be really ‘out-of-date’ and the past potentially ‘up-to-date’.
