Charities and foundations in the U.S.A., England, Germany, France and Spain (differences and similarities in the governance, accountability and public control). (RI §414925)  


Organizaciones benéficas y fundaciones en los EE.UU., Inglaterra, Alemania, Francia y España (diferencias y similitudes en el gobierno, rendición de cuentas y control público) - Juan-Cruz Alli Turrillas

En este trabajo se analiza la posibilidad de comparar las distintas figuras que utilizan el nombre “fundación” (o similar) en los países recogidos en el título: los Estados Unidos, Inglaterra, Alemania, Francia y España. Para ello se ha examinado su naturaleza, estructura y operaciones; en orden a ver si tienen el mismo significado, tanto nominal como jurídicamente. Sobre esta base, se examinan los elementos fundamentales de su ser y estructura legal y social, en particular tres elementos clave: el fin de interés general, su naturaleza en torno a un patrimonio dotado para tal fin, y su carácter fiduciario (y de confianza). También se examina, de modo derivado, su diferente regulación legal y cuáles son las razones de esto. Los sistemas de gobierno, el control o supervisión por parte de las autoridades públicas y, finalmente, todos los sistemas internos y externos para exigir responsabilidades a su gobierno. Basándose en todo ello, se expone si es posible llegar a una homologación de las figuras en los países recogidos en el título; y, como consecuencia, de sus regímenes jurídicos de gobierno, supervisión y responsabilidad. En tal sentido se estudia si todos ellos son similares o no, en qué se pueden equiparar y cuáles son las acciones que se están realizando para su mejora. Como conclusión, sin perjuicio de las grandes diferencias legales derivadas de la historia de la “fundación” como institución jurídica en todos estos lugares, esta forma ha seguido un itinerario común y contiene similitudes internas mucho mayores de lo que puede aparecer a simple vista.

I. LA BÚSQUEDA DE UN CONCEPTO COMÚN PARA LA FUNDACIÓN: 1. ¿Es la figura de la "fundación", similar en todos estos lugares? 2. La búsqueda del elemento clave para la esencia de la fundación. 3. La identidad de la fundación tiene su base en el interés público y la intención altruista para el que recibe la dotación-. II. COMPARANDO EL GOBIERNO, LA SUPERVISIÓN PÚBLICA Y RENDICIÓN DE CUENTAS DE LAS BASES: 1. La "confianza" como la base del sistema. 2. El dilema del control del gobierno de las fundaciones. 3. ¿Podemos hablar de los sistemas de gobierno estandarizadas?. 4 El sistema de rendición de cuentas vis-à-vis los deberes fiduciarios: diferentes enfoques, diferentes resultados. 5. Sistemas de control público fuerte, aunque con diferentes enfoques en función de la evolución histórica de la fundación de cada país. 6. No existen sistemas legales estrictos que permiten al público en general exigir la rendición de cuentas fiduciarias a los gobiernos de las fundaciones -. III. CONCLUSIÓN.

This study analyses the possibility of comparing the different figures that have the name of “foundation” (or something similar) in these countries: United States, England, Germany, France and Spain; examining their nature, structure, and operations to see if the term has the same meaning everywhere, both nominally and legally. On this basis, their fundamental elements are examined in legal and socio-legal terms, particularly their public purpose, the nature of their patrimony, and trust. Also examined are the basic legal regulation, systems of governance, control or supervision by public authorities and, finally, internal or external mechanisms for accountability. Based on this, and with a view to a possible homologation at the institutional level, an evaluation is made to see if these systems and mechanisms of governance, supervision and accountability are more or less similar, what they consist of, and what main lines of action are taking place in the various countries. Despite major historical and legal differences, and also the terminology used, it is surprising to see that these institutions have followed very similar evolutions and share more similarities than might appear.

I. THE SEARCH OF A COMMON CONCEPT FOR THE FOUNDATION: 1. Is the figure of the “foundation” similar in all these places? 2. The search of the key element for the essence of the foundation. 3. The identity of the foundation has its core in the public interest and the altruistic intention for which it receives endowment.- II. COMPARING THE GOVERNMENT, PUBLIC OVERSIGHT AND ACCOUNTABILITY OF THE FOUNDATIONS: 1. The “trust” as the basis of the systemn. 2. The dilemma of the control of the foundations government. 3. Can we talk of standardised government systems? 4. The system of accountability vis-à-vis fiduciary duties: different approaches, varying results. 5. Strong public control systems, although with different approaches depending on the historical development of the foundation in each country. 6. There are no strict legal systems that allow the public at large to demand fiduciary accountability by the governers of foundations.- III. CONCLUSION.
